1. Agreement to Terms
By accessing, browsing, or utilizing the web portals, APIs, or software applications provided by VeraPiù, or by executing an Order Form, Statement of Work (SOW), or Institutional Service Agreement referencing these Terms, your organization ("Client", "Customer", or "You") agrees to be legally bound by these Terms of Service.
If you are entering into this agreement on behalf of a school, educational institution, technical academy, or corporation, you represent that you possess the legal authority to bind that entity to these Terms.
2. Services & Engineering Scope
VeraPiù provides enterprise software development and cloud-hosted digital platforms, encompassing:
- Modular Educational Ecosystems: Multi-stakeholder web and progressive web apps for students, teachers, parents, and administrative leadership.
- Bespoke Digital Engineering: Custom software, headless e-commerce, cloud integrations, and enterprise internal tooling built per agreed specifications.
- Managed Cloud Infrastructure: Dedicated hosting, deployment pipelines, data protection, and enterprise technical support.
3. Accounts & Authorization
Client administrators are responsible for managing access credentials and roles within their dedicated institutional tenant.
• Credential Confidentiality: Users must maintain the security of their passwords and multi-factor authentication (MFA) tokens.
• Prompt Notification: You agree to notify VeraPiù immediately upon discovery of any compromised account or unauthorized access.
• Accurate Provisioning: Role-based access privileges must accurately reflect the authorized operational capacity of each user.
4. Intellectual Property & Code Ownership
We maintain a clean, transparent distinction between custom bespoke client deliverables and proprietary underlying platform foundations:
Custom Deliverables (Client Ownership)
Upon full settlement of contracted development invoices, all bespoke source code, branding assets, custom database schemas, and tailored workflows built exclusively for your organization transfer entirely to your legal ownership.
Core Platform IP & Tooling
VeraPiù retains all right, title, and interest in its proprietary foundational libraries, reusable core modules, pre-existing UI frameworks, algorithms, and cloud orchestration systems, granting the Client a perpetual, royalty-free, worldwide license to utilize them within the deployed platform.
5. Fees, Subscriptions & Invoicing
Fees are defined in the relevant institutional proposal or SOW:
- Billing Cadence: Subscription tiers are billed in advance on an annual or quarterly schedule. Custom engineering milestone invoices are due net-30 days from issuance.
- Taxes: All quoted rates exclude Value Added Tax (VAT), sales tax, or statutory levies applicable in the Client's jurisdiction.
- Late Payments: Overdue balances may accrue interest at 1.5% per month or the statutory maximum rate under Italian Legislative Decree 231/2002.
6. Acceptable Use Policy
You agree not to use or facilitate the use of VeraPiù services to:
• Transmit unlawful, abusive, harassing, or defamatory educational materials.
• Probe, scan, or test the vulnerability of our cloud infrastructure without prior written authorization.
• Reverse-engineer, decompile, or extract proprietary algorithms from compiled platform binaries.
• Interfere with network performance or deploy automated scraping mechanisms that degrade service availability.
7. Uptime & Service Level Agreements (SLA)
For institutions on enterprise tiers, we guarantee a 99.9% Monthly Uptime commitment for core portal operations, excluding scheduled maintenance windows announced at least 48 hours in advance.
In the event of an unscheduled platform disruption exceeding SLA allowances, eligible clients may receive proportional service credits against subsequent subscription renewals.
8. Warranties & Disclaimers
We warrant that our software platforms will perform substantially in conformance with active documentation under normal usage.
EXCEPT AS EXPRESSLY SET FORTH HEREIN, ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER STATUTORY, EXPRESS, OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A SPECIFIC PEDAGOGICAL OR BUSINESS PURPOSE, OR NON-INFRINGEMENT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VERAPIÙ, ITS FOUNDER, DIRECTORS, OR ENGINEERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA CORRUPTION, OR BUSINESS INTERRUPTION.
OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS SHALL BE CAPPED AT THE TOTAL FEES PAID BY CLIENT TO VERAPIÙ IN THE TWELVE (12) MONTHS PRECEDING THE INCIDENT GIVING RISE TO LIABILITY.
10. Term & Data Offboarding
Either party may terminate the agreement upon 30 days written notice in the event of an uncured material breach by the other party.
Upon termination, VeraPiù facilitates complete, structured data export in standard open formats (PostgreSQL dump, JSON, CSV) to ensure zero institutional vendor lock-in.
11. Governing Law & Jurisdiction
These Terms of Service and any non-contractual disputes arising out of them shall be governed exclusively by the laws of Italy and the European Union, without regard to conflict-of-law principles.
The courts of Milan, Italy shall have exclusive jurisdiction over any disputes arising from or in connection with these Terms.
